TERMS OF SERVICE
Allolev ingliskeelne tekst on selle dokumendi siduv versioon.
1. Who we are and what these Terms cover
Sovereign AI Cloud (the "Platform") is operated and sold by Media Holding Development OÜ, registry code [REGISTRY CODE], VAT number [VAT NUMBER], [LEGAL ADDRESS], Tallinn, Estonia ("Media Holding", "we", "us"). The Platform is a product of MEDIA HOLDING INTELLIGENCE ECOSYSTEM; it is not an independent company and not a separate legal person.
These Terms govern every account, organisation, project, API key, dedicated instance, credit purchase and any other use of the Platform's services (the "Services"). By creating an account, placing an order or using the Services you accept these Terms on behalf of the business you represent ("you", the "Customer"). The Acceptable Use Policy, the Privacy Policy, the Data Processing Agreement, the Refund and Credits Policy and, where signed, a Service Level Agreement and an order form are part of this agreement.
2. Business customers only
The Services are offered only to legal persons and to natural persons acting in the course of their trade, business or profession (B2B). Consumers may not register and are not served. You confirm that you are at least 18 years old, that you are authorised to bind your organisation, and that neither you nor your organisation is subject to sanctions or export restrictions that would prohibit us from providing the Services. We may ask for business identification — company name, registration number, VAT number, business address — before activating any paid Service, and may refuse or close an account that does not meet these conditions.
3. Account, organisation and API keys
3.1 You are responsible for every action taken through your account, your organisation, its projects and its API keys, whether or not you authorised that action.
3.2 API key secrets are shown once at creation. We store them only as a keyed one-way hash (HMAC-SHA-256) and cannot show them again. Keep them confidential, never embed them in client-side code or public repositories, and rotate them whenever you suspect exposure.
3.3 Tell us without undue delay at [CONTACT EMAIL] if a key or account may be compromised. We revoke keys on your request and may revoke a key ourselves when we have reason to believe it is being abused; we tell you when we do.
3.4 Every natural person who uses the cabinet must have their own login. Sharing logins is not allowed. Roles and permissions inside your organisation are managed by your organisation's administrators, and we act on their instructions.
4. Acceptable use
Use of the Services is subject to the Acceptable Use Policy, which forms part of these Terms. The Acceptable Use Policy names the prohibited uses, including the practices prohibited by Article 5 of Regulation (EU) 2024/1689 (the EU AI Act), and the way we respond to abuse. We may suspend access that violates it as set out in Section 7.
5. The Services, their status and changes
5.1 The Services are described on the Platform site and in the documentation. Every capability shown there carries a status label: MEASURED (exists and was measured on the stated date by the stated method), BUILT (exists and works, not yet measured under load) or PLANNED (designed, not yet built). Only MEASURED and BUILT capabilities form part of the Services; a PLANNED capability is a statement of intent and not a promise.
5.2 Availability commitments exist only for dedicated instances under a signed Service Level Agreement. Without such an agreement the Services are provided without any availability commitment.
5.3 We may change, add or discontinue features. A material change to these Terms, to a paid Service or to the API that is not backwards-compatible is announced at least 30 days in advance by email to your organisation's administrators (Section 14). Security fixes and changes required by law may be made without notice.
5.4 The models served are open-weight models developed by third parties. We may replace a model version with a newer one; we announce such replacements in the documentation and keep the previous model id available for at least 30 days where technically possible.
6. Fees, taxes, invoicing and credits
6.1 Fees are stated in euro and exclude VAT and any other taxes, duties or withholdings. The prices shown on the Platform site before the final tariffs are published are indicative; the fees that apply are those stated in your order form or in the cabinet at the time of order.
6.2 Estonian VAT at the statutory rate applies where the law requires it. Business customers in other EU member states who provide a valid VAT identification number are invoiced under the reverse-charge mechanism, and both VAT numbers are stated on the invoice. Customers outside the EU are invoiced without Estonian VAT where the place-of-supply rules allow. You are responsible for all taxes due in your own jurisdiction.
6.3 Dedicated instances are billed monthly in advance. Usage-based fees, where offered, are billed in arrears per calendar month on the basis of the metering ledger (token counts and request counts per project). Our ledger is the record of usage unless you show it to be wrong.
6.4 Prepaid credits are consumed by usage at the published rates. Credits are non-transferable between organisations and expire 12 months after the date of purchase; expired credits are forfeited without refund, except where the Refund and Credits Policy or mandatory law provides otherwise. Credits are not money, bear no interest and cannot be redeemed for cash except as stated in the Refund and Credits Policy.
6.5 Invoices are due within 14 days of the invoice date unless the order form says otherwise. If an invoice is unpaid, we send a written reminder with a 10-day cure period; after that we may suspend the paid Services and may charge statutory default interest under Estonian law.
6.6 Payments are processed by Stripe. We do not store card numbers; Stripe acts under its own terms and our Data Processing Agreement names it as a sub-processor.
7. Term, cancellation, suspension and termination
7.1 These Terms apply for as long as you have an account.
7.2 You may close your account, delete projects or cancel a dedicated instance at any time from the cabinet or by email to [CONTACT EMAIL]. Cancellation of a dedicated instance takes effect at the end of the paid period. Cancelling is a single action and never requires a call. We do not renew a Service you have cancelled, and we do not enrol you in any Service you have not ordered.
7.3 We may suspend a Service immediately where this is necessary to protect the Platform, other customers or third parties — in particular on a security incident, a violation of the Acceptable Use Policy, a legal order, or unpaid fees after the cure period of Section 6.5. We tell you the reason and what restores access, unless the law forbids us to.
7.4 Either party may terminate this agreement for a material breach that is not cured within 30 days of written notice.
7.5 On termination we delete your organisation's data in accordance with the Privacy Policy and the Data Processing Agreement. Request content is not retained in the first place. Fees that fell due before termination remain payable; prepaid amounts are handled under the Refund and Credits Policy.
8. Your data and your content; zero retention
8.1 You own your inputs (prompts, files, parameters) and your outputs (completions) to the extent permitted by law. We claim no rights in them and use them only to provide the Services to you.
8.2 By default the Platform does not store the content of requests or responses. It stores metadata — request identifier, timestamp, model, status, token counts, duration, project and key identifiers — for billing, security, abuse prevention and support. A retention option for debugging, if we offer one, is activated only by your explicit configuration and is described in the documentation.
8.3 You are responsible for the lawfulness of your inputs, for the rights needed to submit them, and for how you use the outputs — including any obligation to disclose to your own users that they interact with, or read content produced by, an AI system (see the AI Transparency Notice).
8.4 Personal data contained in your requests is processed on your behalf under the Data Processing Agreement. For the account, billing and metadata we process as controller, the Privacy Policy applies.
9. Intellectual property and model licences
9.1 The Platform — the control plane, the cabinet, the Sovereign AI Machine, the documentation, the site and the trademarks of Media Holding — is owned by Media Holding and its licensors. You receive a limited, non-exclusive, non-transferable, revocable right to use the Platform under these Terms, and nothing else.
9.2 The models served are open-weight models licensed by their developers under the Apache License, Version 2.0. That licence and the accompanying NOTICE file are passed through to you unchanged (the NOTICE is published with the documentation). Nothing in these Terms restricts the rights the Apache License grants you in the models, and nothing in these Terms grants you rights in the models beyond that licence. We do not modify the weights of the models we serve.
9.3 Model names and other third-party trademarks belong to their owners and are used only to identify the served artifacts.
9.4 You may give us feedback. We may use it without obligation or attribution.
10. Warranties and disclaimers
The Services are provided "as is" and "as available". The output of an AI model can be wrong, incomplete, biased, outdated or unsuitable for a purpose, and it may differ between runs; you must review outputs before relying on them and must not use them as the sole basis for decisions with legal or similarly significant effects on persons. Except as expressly stated in a signed Service Level Agreement, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, to the extent Estonian law permits.
11. Limitation of liability
11.1 To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of profit, loss of revenue, loss of data, loss of business or reputational harm, however arising.
11.2 Our total aggregate liability under or in connection with this agreement, whether in contract, tort or otherwise, is limited to the fees you paid to us for the Services in the 12 months preceding the event giving rise to the claim.
11.3 Nothing in these Terms limits or excludes liability for intent or gross negligence, for death or personal injury, or for any liability that cannot be limited under applicable law.
12. Indemnities
12.1 You indemnify and hold us harmless against third-party claims, damages and reasonable costs arising from your inputs, your use of outputs, the acts of your users, or your breach of the Acceptable Use Policy or of applicable law.
12.2 We indemnify you against third-party claims that the Platform (excluding the open-weight models, your inputs and your outputs) infringes that third party's intellectual property rights in the European Union, provided you notify us promptly, let us control the defence and settlement, and give reasonable assistance. We may modify or replace the affected part of the Platform, procure a licence, or terminate the affected Service with a pro-rata refund of prepaid fees.
13. Confidentiality
Each party keeps the other party's non-public information confidential, uses it only for the purposes of this agreement, and protects it with at least reasonable care, for the term of the agreement and three years after it ends. This does not apply to information that is or becomes public without breach, that the receiving party already lawfully held, that it independently developed, or that it must disclose by law or court order (in which case it informs the other party where permitted).
14. Changes to these Terms
We may change these Terms. We notify your organisation's administrators by email at least 30 days before a material change takes effect. If you do not accept the change, you may terminate before the effective date, and we refund unused prepaid amounts pro rata. Continued use of the Services after the effective date is acceptance of the change. Changes that only correct errors, add clarity or are required by law may take effect on publication.
15. Governing law and venue
These Terms and every dispute arising from them are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The parties submit disputes to Harju County Court (Harju Maakohus), Tallinn, Estonia, as the court of first instance, without prejudice to mandatory jurisdiction rules.
16. General
- Entire agreement. These Terms, the Acceptable Use Policy, the Privacy Policy, the Data Processing Agreement, the Refund and Credits Policy and any signed Service Level Agreement and order form are the entire agreement. In case of conflict: a signed order form or Service Level Agreement prevails, then the Data Processing Agreement, then these Terms, then the policies.
- Assignment. Neither party may assign this agreement without the other's consent, except to an affiliate or to a successor of substantially all of its business, with notice.
- Force majeure. Neither party is liable for failure caused by events beyond its reasonable control, except for payment obligations.
- Severability. If a provision is invalid, the rest remains in force and the provision is replaced by a valid one closest to its intent.
- Notices. Notices to us go to [CONTACT EMAIL]; notices to you go to the email addresses of your organisation's administrators.
- Language. These Terms are concluded in English. Translations are provided for convenience only; the English text is binding.
- No waiver. A failure to enforce a right is not a waiver of it.
